Terms and Conditions

Compass (product of Aurora Vicci LLC)

Last Updated: October 2026

Compass ("Compass," "we" or "us") thanks you for visiting our website. These Terms and Conditions ("Terms") apply when you:

  • access or use the Compass website (the "Site"); or
  • use the Compass platform, including its dashboards, briefings, predictions, alerts and related services (the "Services"), on behalf of an organization that has an agreement with us (the "Customer").

If the Customer has signed a separate agreement with us, that agreement takes priority where it differs from these Terms.

BY USING COMPASS YOU AGREE TO THESE TERMS AND OUR PRIVACY POLICY.

Compass is an analytics and operational decision-support platform. It does not provide medical advice, diagnosis or treatment.

Accounts and Acceptable Use

Authorized users: only people the Customer authorizes may use the Services. Each user is responsible for keeping their sign-in secure and for activity under their account, and must report unauthorized access immediately.

Permissions: the Customer decides which systems Compass connects to and which users can see which organizations, sites and teams.

No misuse: you may not attempt to access data you are not permitted to see, reverse engineer the Services, or use them in breach of any law.

Customer Data

Ownership: the Customer owns its data and the outputs Compass produces from it, such as metrics, briefings and exports.

Read-only access: Compass reads data from the Customer's connected systems and does not write back to them.

Data quality: Compass works from the data in the Customer's systems. We do not verify the clinical or financial accuracy of source data, and gaps or errors in source systems will be reflected in the results.

AI-Generated Insights

Decision support only: briefings, predictions, suggested rules and suggested follow-ups are supplementary information. They should not be the sole basis for clinical, staffing, financial or regulatory decisions.

Human approval: the Customer and its staff remain responsible for reviewing and approving every action, and for all clinical decisions, diagnoses and treatment plans.

Explanations: Compass shows the factors behind its predictions and records model decisions so they can be reviewed. Predictions are estimates and can be wrong.

Limitation of Liability

No medical liability: Compass shall not be liable for medical decisions, patient health events or care outcomes connected with use of the Services.

Exclusion of consequential damages: in no event shall Compass, its officers or partners be liable for any indirect, incidental, special, exemplary or consequential damages, including:

  • Lost profits or revenue, even if Compass was advised of the possibility of such damages.
  • Regulatory penalties arising from the Customer's own reporting or submissions.
  • Losses from inaccurate or incomplete source data in the Customer's systems.

Liability cap: to the maximum extent permitted by law, Compass's total liability for any claim arising out of or relating to the Services shall not exceed the fees paid by the Customer to Compass in the twelve (12) months before the event giving rise to the claim.

Indemnification

The Customer agrees to indemnify and hold harmless Compass and its partners from claims, losses or fines arising from the Customer's misuse of the Services or of its data, or from connecting data the Customer was not authorized to share.

Service Levels

Availability: we aim for 99.9% availability of the Compass platform, excluding scheduled maintenance. Specific service levels, if any, are set in the Customer's agreement.

Data freshness: Compass is not liable for delays caused by outages or limits in the Customer's source systems or third-party cloud providers.

Intellectual Property

Compass IP: the Services, including software, models, algorithms, design and documentation, remain the sole property of Aurora Vicci LLC.

Customer outputs: the Customer owns the outputs generated from its data, but not the system used to generate them.

Warranty Disclaimers

1. "As-Is" and "As-Available"

Except as stated in the Customer's agreement, the Services are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Compass disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

2. Not a Medical Device

Compass is a data and analytics tool, not a medical device, and is not intended to diagnose, treat, cure or prevent any disease.

Subscriptions and Payments

Use of the Services requires a paid subscription or a pilot agreement. Fees are billed according to the plan set in the Customer's agreement, including any additional services both parties agree to.

Changes to These Terms

We may update these Terms from time to time. We will tell Customers about significant changes by email or in the product.
